Terms of Use Agreement

These Terms & Conditions (“Terms”) govern your access to and use of the Moira Club website, any related applications, and any online features, content, and services made available by Moira Club Partners, Inc. (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Who We Are
Moira Club provides a membership experience intended to support older adults and their families through a combination of support services, education, coordination, technology-enabled tools, and related offerings. The Services may evolve over time.
The Services may include the ability to connect compatible wearable devices and health platforms to your Moira membership to support personalized vitality monitoring and proactive care team engagement. Additional device integrations may be made available over time.
2) Eligibility
You must be at least 18 years old to use the Services. If you use the Services on behalf of another person (e.g., a family member), you represent you have authority to do so and to share information as needed for the Services.
3) Not Medical Advice; Emergencies
The Services may include education, wellness guidance, coordination support, and other non-emergency offerings. The Services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified health provider with any questions you may have.
Moira Club is not an emergency service. If you believe you are experiencing an emergency, call 911 (or your local emergency number) immediately.
Alerts or notifications generated from wearable device data are not emergency services and are not a substitute for professional medical evaluation. Wearable-generated signals are wellness indicators intended to support proactive care conversations and are not diagnostic tools and do not constitute medical advice.
If you or someone you care for is experiencing a medical emergency, call 911 immediately. Do not rely on Moira's platform, wearable alerts, or your care team for emergency response.
4) Accounts and Security
Some parts of the Services may require an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
5) Memberships, Plans, and Changes
If you enroll in a membership or paid plan, details (including what is included, plan limitations, and pricing) will be presented at sign-up or otherwise made available to you.
We may modify, suspend, or discontinue any part of the Services, including membership features, tools, content, pricing, or availability, at any time. If a change materially affects a paid plan, we will provide notice as required by law.
6) Payments, Renewals, Cancellations
If you purchase a membership or other paid offering:
- Authorization: You authorize us (and our payment processors) to charge your chosen payment method for applicable fees, taxes, and recurring charges (if any).
- Renewals: Unless stated otherwise, paid plans renew automatically until canceled.
- Cancellation: You may cancel as described during sign-up or through your account settings (if available) or by contacting us at support@moiraclub.com. Cancellation generally takes effect at the end of the current billing period unless otherwise disclosed.
- Refunds: Fees are non-refundable except where required by law.
You are responsible for any charges incurred before cancellation takes effect.
7) Third-Party Services and Links
The Services may integrate with or link to third-party services (for example, device platforms, scheduling tools, payment processors, communication tools, or other partners). Your use of third-party services is subject to the third party's terms and privacy practices. We do not control and are not responsible for third-party services.
Additional integrations may be added over time and will be reflected in updates to these Terms and our Privacy Policy.
Use of any connected wearable device is governed by that provider's own terms of service and privacy policy. Moira Club is not responsible for the performance, accuracy, availability, or data practices of any third-party wearable device or health platform. Moira Club does not warrant that any specific device integration will remain continuously available.
8) Devices, Data, and Technology Features
Some features may use data you provide or data from connected devices or third-party platforms. You understand that:
- Data may be incomplete, delayed, or inaccurate.
- Outputs, insights, and recommendations (if any) are informational and may not reflect your full situation.
- You are responsible for maintaining your devices, connectivity, and third-party accounts needed for integrations.
- Wearable data signals, including any alerts or trend indicators generated by the Moira platform, are wellness indicators only. They are not diagnostic tools, are not a substitute for professional medical evaluation, and do not constitute medical advice.
- Connecting a wearable device is voluntary. You may disconnect a device at any time without affecting your membership status.
9) Mobile Terms of Service
Moira Club offers a mobile subscription service for authentication, informational and operational content. By opting in, you agree to receive recurring automated messages.
You can cancel the SMS service at any time. Just reply STOP to any message you receive from us. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed.
If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or reach out to info@moiraclub.com.
Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies.
If you have any questions about your text plan or data plan, it is best to contact your wireless provider. For privacy-related inquiries, please refer to our Privacy Policy.
10) Communications
We may contact you electronically, including by email, in-app notifications, phone calls, and, where you have specifically opted in, SMS/text messages related to your account, membership, inquiry, or Services. Promotional text messages require separate optional consent. Standard message and data rates may apply. You can opt out of promotional messages at any time; operational or service-related communications may still be sent through other channels as permitted by law.
11) Privacy
Our collection and use of personal information is described in our Privacy Policy. If you provide information about another person, you represent you have the right to do so.
12) Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes
- Interfere with the operation, security, or integrity of the Services
- Attempt to gain unauthorized access to any systems or data
- Upload or transmit malware or harmful code
- Reverse engineer, scrape, or misuse the Services except as permitted by law
- Impersonate others or misrepresent your affiliation with any person or entity
We may suspend or terminate access if we believe you violate these Terms.
13) Intellectual Property
The Services and all related content, features, and functionality are owned by Moira Club or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services unless we expressly permit it in writing.
14) User Content
If you submit or upload content through the Services (“User Content”), you retain ownership of your User Content, but you grant Moira Club a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify (for technical purposes), and display your User Content solely to operate, improve, and provide the Services.
You represent your User Content does not violate law or third-party rights.
15) Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee the Services will be uninterrupted, secure, or error-free, or that any outputs, content, or results will be accurate or complete.
We do not warrant the accuracy, completeness, or timeliness of data received from third-party wearable devices or health platforms, or that wearable-generated signals will detect all relevant health changes. Moira Club is not liable for missed signals, delayed alerts, or inaccurate wearable data resulting from device malfunction, connectivity issues, or the inherent limitations of consumer-grade wearable technology.
16) Limitation of Liability
To the maximum extent permitted by law, Moira Club will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Moira Club for the Services in the three (3) months before the event giving rise to the claim (or $100 if you have not paid any amounts).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17) Indemnification
You agree to indemnify, defend, and hold harmless Moira Club and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or third-party rights.
18) Termination
We may suspend or terminate your access to the Services at any time for any reason, including if we believe you violated these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.
19) Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Any legal action or proceeding arising out of or related to these Terms or the Services must be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
20) Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date indicates when changes were made. If we make material changes, we will provide notice as required by law. Your continued use of the Services after changes become effective means you accept the updated Terms.
21) Miscellaneous
- Entire Agreement: These Terms (and any policies referenced, such as the Privacy Policy) are the entire agreement between you and Moira Club regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- No Waiver: Our failure to enforce any provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
